Terms of Service

Room2Raise is operated by Aithera GmbH, Zweibrückenstraße 17, D-80331 Munich, Germany ("Aithera", "we", "us"). These Terms of Service govern your access to and use of Room2Raise (the "Service"). By using the Service you are contracting with Aithera GmbH.

By creating an account or otherwise continuing to use the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation. If you use the Service as an individual, you confirm that you are of legal age.

Room2Raise provides AI-native, investor-grade data rooms and related templates that help founders build, structure, and share fundraising materials. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you select.

You must not misuse the Service. In particular, you must not:

• Use the Service for any unlawful, fraudulent, or deceptive purpose.
• Send spam or distribute malware.
• Infringe the intellectual property or privacy rights of others.
• Interfere with the security or integrity of the Service, including probing, scanning, scraping, or reverse engineering.
• Resell, redistribute, or circumvent technical limits of the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date. You retain ownership of the content you upload and grant us a limited licence to host and process it solely to provide the Service.

We retain all ownership of the Service and its intellectual property, including software, documentation, and branding. No rights are granted except as expressly set out in these Terms.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically for the selected billing period unless cancelled. See our Refund Policy for details on refunds.

We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. To the extent permitted by law, our aggregate liability is limited to the fees you paid in the 12 months preceding the claim, and we exclude liability for indirect, consequential, or special damages. Nothing in these Terms excludes liability that cannot be excluded by law.

We may suspend or terminate your access to the Service in the event of a material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, you may export your data within a reasonable period, after which it may be deleted.

These Terms are governed by the laws of Germany, and disputes are subject to the courts of Munich, unless mandatory law provides otherwise.
